These Terms of Service ("Terms") govern your participation in the Early-Bird Program for Levy, an upcoming AI-powered application developed by Anzo Labs PTE LTD, a company registered in Singapore ("we," "us," "our," or "Levy"). By accessing our website, submitting a deposit, or otherwise engaging with the Early-Bird Program, you ("you," "your," or "Customer") agree to be bound by these Terms. If you do not agree with these Terms, do not participate in the Early-Bird Program or use our website.

If you are participating on behalf of an organization, you represent that you have the authority to bind that organization to these Terms, and "you" and "Customer" will refer to that organization.

1. Overview of Levy and the Early-Bird Program

Levy is an AI-powered application in development, designed to monitor your device screen and protect your online activity from threats such as scams, phishing emails, and fraudulent communications. Levy is not yet available for public use.

The Early-Bird Program allows you to secure a spot on the Levy waitlist by making a one-time, fully refundable deposit of USD $20 ("Deposit"). Upon Levy's official launch, early-bird depositors will receive 12 months of access to Levy at no additional cost (the "Free Period"). After the Free Period, Levy's standard subscription fee is anticipated to be USD $20 per month, subject to change with prior notice. There are no limits on the number of early-bird slots available.

Your Deposit does not guarantee the development or launch of Levy, and participation in the Early-Bird Program is a good-faith contribution to support our development efforts. If Levy does not launch, or if you withdraw from the waitlist, your Deposit is refundable as outlined in Section 4.

2. Eligibility

To participate in the Early-Bird Program, you must:

Be at least 18 years old or have parental/guardian consent if under 18.
Provide accurate and complete payment and contact information through our website.
Agree to these Terms and our Privacy Policy.
Comply with all applicable laws and regulations in your jurisdiction.

3. Deposits and Payment Terms

3.1 Deposit Amount and Processing

The Early-Bird Program requires a one-time Deposit of USD $20, processed securely through Stripe, our third-party payment processor. By making a Deposit, you agree to Stripe's Terms of Service (available at https://stripe.com/legal). We collect and store limited payment information (e.g., credit card type, last four digits, and expiration date) solely to facilitate the transaction, as outlined in our Privacy Policy.

3.2 Non-Binding Commitment

The Deposit secures your position on the waitlist and grants you the Free Period upon Levy's launch, subject to these Terms. It does not constitute a purchase of services or a guarantee that Levy will be developed or launched.

3.3 No Additional Fees During Free Period

If Levy launches, your Deposit entitles you to 12 months of access to Levy starting from the official launch date, with no additional fees during the Free Period. Post-Free Period pricing will be communicated prior to launch.

4. Refund Policy

We are committed to transparency and fairness. Your Deposit is fully refundable under the following conditions:

Voluntary Withdrawal: You may request a refund at any time before Levy's official launch by emailing support@getlevy.co with your full name and the email address used for the Deposit. Refunds will be processed within 7 business days to the original payment method via Stripe.

Non-Delivery of Levy: If we determine that Levy will not be developed or launched, we will notify you via email and automatically refund all Deposits to the original payment method within 7 business days.

No Pro-Rata Refunds: Deposits are non-divisible and will be refunded in full only as described above. No partial refunds will be issued.

5. Development and Launch

5.1 No Guarantee of Launch

Levy is in development, and we cannot guarantee a specific launch date or that the product will be developed as planned. We reserve the right to modify, delay, or cancel the development of Levy at our sole discretion.

5.2 Changes to Features or Pricing

The features, functionality, and post-Free Period pricing of Levy (currently anticipated at USD $20 per month) may change. We will notify early-bird depositors of material changes prior to launch via email or our website.

5.3 Waitlist Benefits

Early-bird depositors will receive priority access to Levy upon launch, including the 12-month Free Period. Additional benefits, if any, will be communicated prior to launch.

6. Privacy and Data Collection

During the waitlist phase, we collect only the information necessary to process your Deposit (e.g., name, email, and payment details). We do not monitor your screen or collect any device data during this phase, as Levy is not yet operational. Our use of your information is governed by our Privacy Policy, which complies with applicable data protection laws, including the Personal Data Protection Act (PDPA) of Singapore.

Upon launch, Levy will operate locally on your device to minimize data collection and ensure privacy. We will provide updated Terms and a detailed Privacy Policy at that time.

7. Intellectual Property

7.1 Ownership

All rights, title, and interest in Levy, our website, and related materials (including logos, trademarks, and content) are owned by Anzo Labs PTE LTD or its licensors. Your participation in the Early-Bird Program does not grant you any ownership or license to our intellectual property, except as expressly provided in these Terms.

7.2 Limited License

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable right to access our website for the purpose of participating in the Early-Bird Program. You may not reproduce, distribute, modify, or create derivative works of our website or materials without prior written consent.

8. User Conduct and Restrictions

You agree not to:

Use our website or the Early-Bird Program for any unlawful or unauthorized purpose.
Attempt to reverse-engineer, hack, or interfere with our website or payment systems.
Provide false or misleading information when submitting a Deposit.
Use our trademarks, logos, or branding without prior written consent.

We reserve the right to terminate your participation in the Early-Bird Program without refund if you violate these Terms or engage in conduct we deem harmful to our interests.

9. Limitation of Liability

To the fullest extent permitted by law, Anzo Labs PTE LTD, its affiliates, officers, directors, employees, and agents are not liable for any direct, indirect, incidental, special, consequential, or punitive damages arising from your participation in the Early-Bird Program, including but not limited to:

Delays or failure to develop or launch Levy.
Errors or interruptions in payment processing.
Loss of data or unauthorized access to our website.

Our total liability is limited to the refund of your USD $20 Deposit as outlined in Section 4. You acknowledge that the Deposit reflects the pre-launch nature of Levy and the risks associated with supporting a product in development.

10. Indemnification

You agree to indemnify, defend, and hold harmless Anzo Labs PTE LTD, its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, or expenses (including reasonable legal fees) arising from your violation of these Terms, misuse of our website, or breach of applicable laws.

11. Governing Law and Dispute Resolution

11.1 Governing Law

These Terms are governed by the laws of Singapore, without regard to its conflict of law provisions.

11.2 Arbitration

Any disputes arising from or relating to these Terms or the Early-Bird Program will be resolved through binding arbitration in Singapore, conducted in accordance with the rules of the Singapore International Arbitration Centre (SIAC). You agree to waive any right to participate in a class action or seek remedies on a class-wide basis. Notwithstanding the foregoing, either party may seek injunctive relief in a court of competent jurisdiction for matters involving intellectual property or confidentiality.

12. Modifications to Terms

We may modify these Terms at any time. Material changes will be communicated via email or by posting an updated version on our website at least 7 days before they take effect. Your continued participation in the Early-Bird Program after such changes constitutes acceptance of the updated Terms. If you do not agree to the changes, you may request a refund as outlined in Section 4.

13. Termination

We may terminate your participation in the Early-Bird Program at our discretion, including for violation of these Terms or if we discontinue the program. Upon termination, your Deposit will be refunded as outlined in Section 4, unless termination results from your violation of these Terms.

14. Force Majeure

We are not liable for delays or failures to perform our obligations under these Terms due to events beyond our reasonable control, including but not limited to acts of God, natural disasters, governmental actions, or technical failures.

15. Miscellaneous

Entire Agreement: These Terms, together with our Privacy Policy and any referenced documents, constitute the entire agreement between you and Anzo Labs regarding the Early-Bird Program.
No Waiver: Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.
Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
